Terms of Service
These Terms of Service ("Terms") govern your access to and use of Zipd ("the Service"), operated by Zipd Inc.. By creating an account, signing in, or publishing content through the Service, you agree to these Terms and to our Privacy Policy and Acceptable Use Policy.
1. The Service
Zipd is an agent platform that uses large language models to plan, execute, and assemble research deliverables on your behalf. We orchestrate computation, store the inputs and outputs you produce, and (when you ask us to) host published deliverables at a public URL.
We may add, modify, or remove features at any time. We will give you reasonable notice of materially adverse changes when we can.
2. Your Account
You sign in with a third-party identity provider (Google or Microsoft). You are responsible for the security of that upstream account, including any multi-factor authentication you choose to enable there. We do not store passwords.
You must be at least 13 years old (or the minimum age of digital consent in your jurisdiction, whichever is higher). If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
3. Your Content
You retain ownership of the briefs, documents, prompts, and published artifacts you create through the Service (collectively, "Your Content"). You grant us a worldwide, non-exclusive, royalty-free license to host, store, transmit, modify, and display Your Content solely as necessary to operate, secure, and improve the Service.
You are responsible for Your Content. You represent that you have the rights necessary to upload, generate, and publish it, and that doing so does not violate any law or any third party's rights. We may remove content that we believe violates these Terms, the Acceptable Use Policy, or applicable law.
4. AI-Generated Output
The Service uses third-party language models. The outputs are probabilistic and may be inaccurate, incomplete, or unsuitable for your purpose. You are responsible for reviewing outputs before relying on them or sharing them publicly. Do not use the Service for advice that requires a licensed professional (medical, legal, financial, etc.) without independent verification.
5. Costs and Billing
Each run incurs platform costs that we pass through to you (LLM tokens, compute, and storage) plus a service fee. Per-run and per-account budget caps protect you from runaway spend; setting a per-run cap is your responsibility, but a default cap is always in effect.
Credit top-ups are non-refundable except where required by law. Unused credits remain on your account until consumed.
6. Acceptable Use
Your use of the Service is subject to the Acceptable Use Policy. We may suspend or terminate accounts, remove content, or refuse service for any conduct prohibited there.
7. Privacy
Our handling of personal data is described in the Privacy Policy. Continued use of the Service constitutes consent to that handling.
8. Intellectual Property
The Service itself — its software, design, brand, and documentation — is owned by Zipd Inc. and our licensors and is protected by copyright and other intellectual-property laws. These Terms do not grant you any right to our trademarks or logos.
9. Termination
You may close your account at any time by emailing support@zipd.example. We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have violated these Terms or our policies.
On termination, your published URLs are taken down within a reasonable period and your data is deleted in accordance with the Privacy Policy.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUTPUTS WILL BE ACCURATE OR COMPLETE.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER Zipd Inc. NOR ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY. OUR TOTAL LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE, OR (B) USD $100.
12. Indemnification
You will defend and indemnify Zipd Inc. against any third-party claim arising out of (a) Your Content, (b) your use of the Service in violation of these Terms or applicable law, or (c) your infringement of any intellectual-property right.
13. Changes
We may update these Terms from time to time. Material changes will be communicated by email and/or by a banner inside the Service before they take effect, and you will be asked to accept the new version before continuing to use the Service.
14. Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. Disputes will be resolved exclusively in the state or federal courts located in Delaware, and you and we consent to personal jurisdiction there.
